Buzzacott advised the shareholders of Atlas Identity Limited, a leading consultancy that specialises in the provision of cloud-based Identity and Access Management (IAM) services, on its sale to FPE backed Intragen Ltd.

Who are the firms involved

Atlas Identity is one of the UK’s fastest growing IAM service providers, having recently been recognised in The Sunday Times Hundred for a second consecutive year. Atlas Identity operate primarily out of the UK, with an existing European presence, serving a global client base spanning a multitude of sectors.

Intragen is a leading pan-European provider of IAM and cyber security solutions. The company is backed by FPE Capital and is undergoing a buy-and-build strategy, with Atlas Identity being the third acquisition in the past 12-months.

What we liked about this deal

The deal involved various restructuring complexities, which had to be resolved prior to the wider transaction taking place. Buzzacott proactively recognised the steps that were required to navigate any potential tax issues arising, communicating with all shareholders throughout the process and ensuring a fair transaction was struck, which was commercially equitable for all parties involved.
