Buzzacott advised the Shareholders of Ascertus Limited, a legal technology service provider, on its sale to Harbor Global LLC.

Who are the firms involved?

Ascertus provides information and document lifecycle management consultancy, software solutions, and IT support services to law firms, corporate legal departments, and other professional services organisations. It has successfully delivered and managed some of the largest iManage Work installations at customer sites, in the UK, Europe, and globally.

Harbor Global LLC, a US-based professional and legal services firm, was established in 2023 through the merger of HBR Consulting, intelligence provider LAC Group, and legal technology and data consultancy Wilson Allen. The Company is backed by the private equity firm Renovus Capital Partners.

Highlights of the deal

As commentators increasingly predicted that the October 2024 Budget would raise Capital Gains Tax (CGT) rates, we accelerated the completion process to ensure the transaction was finalised before this deadline. Although this was an ambitious deadline, we collaborated closely with all parties and maintained consistent communication to ensure the process was as streamlined as possible.
